In January 2024, the Company acquired artificial intelligence (“AI”) software companies SYNQ3 and Amelia Holdings, Inc., resulting in what it hailed as the Company’s “breakthrough year” in 2024. However, on March 4, 2025, the Company disclosed it could not timely file its 2024 Annual Report “[d]ue to the complexity of accounting for [the SYNQ3 and Amelia Acquisitions]” and that it “ha[d] identified material weaknesses in its internal control over financial reporting.” A week later, the Company filed its 2024 10-K, which restated certain financials and revealed for the first time that the Company’s lack of effective controls was impairing its ability to account for corporate acquisitions.

Thereafter, the Company and certain of its executives were sued in a securities class action lawsuit, charging them with failing to disclose material information during the Class Period in violation of federal securities laws, which remains ongoing.

KSF’s investigation is focusing on whether SoundHound’s officers and/or directors breached their fiduciary duties to its shareholders or otherwise violated state or federal laws.
