Autodesk, Inc. (NasdaqGS: ADSK)

On April 1, 2024, the Company disclosed that it would be unable to timely file its 10-K report and that “[a]fter the Company’s earnings release on February 29, 2024, information was brought to the attention of management, which promptly informed the Audit Committee of the Board of Directors of the Company, that caused the Committee to commence an internal investigation with the assistance of outside counsel and advisors, regarding the Company’s free cash flow and non-GAAP operating margin practices.”
Thereafter, the Company and certain of its executives were sued in a securities class action lawsuit, charging them with failing to disclose material information during the Class Period, violating federal securities laws, which remains ongoing.
KSF’s investigation is focusing on whether Autodesk’s officers and/or directors breached their fiduciary duties to its shareholders or otherwise violated state or federal laws.
