Gaia, Inc. (NasdaqGM: GAIA)

Former Attorney General of Louisiana, Charles C. Foti, Jr., Esq., a partner at the law firm of Kahn Swick & Foti, LLC (“KSF”), announces that KSF has commenced an investigation into Gaia, Inc. (NasdaqGM: GAIA).  

On November 7, 2022, the Company disclosed the June 2020 receipt of a request for voluntary production of documents from the U.S. Securities and Exchange Commission and subsequent consent agreement (in September 2022) to “the entry of an administrative order: (1) finding that Gaia (a) misstated in its April 29, 2019 earnings release and earnings call the number of paying subscribers for the period ending March 31, 2019, a quarter during which Gaia extended a free month of service to certain subscribers in the midst of a transition to a new enterprise-wide data system and (b) failed to comply with SEC whistleblower protection requirements with respect to the termination of one employee and the language used in severance agreements for other employees; and (2) requiring Gaia to pay a total civil monetary penalty of $2,000[,000] over a one-year period for these violations,” among other things.

Thereafter, the Company and certain of its executives were sued in a securities class action lawsuit, charging them with failing to disclose material information during the Class Period in violation of federal securities laws, which remains ongoing.

KSF’s investigation is focusing on whether Gaia’s officers and/or directors breached their fiduciary duties to its shareholders or otherwise violated state or federal laws.
