On September 25, 2025, the Federal Trade Commission (“FTC”) announced a settlement with the Company involving allegations that it enrolled millions of consumers in its Prime subscription service without their consent, and knowingly made it difficult for consumers to cancel, requiring the Company to pay a $1 billion civil penalty, provide $1.5 billion in refunds back to consumers harmed by their deceptive Prime enrollment practices, and cease unlawful enrollment and cancellation practices for Prime.
KSF’s investigation is focusing on whether Amazon’s officers and/or directors breached their fiduciary duties to its shareholders or otherwise violated state or federal laws.
