On March 4, 2024, despite prior positive statements to investors regarding its ability to develop AI features to generate code more efficiently and increase market demand for its DevSecOps platform, the Company disclosed lowered full-year guidance for 2025 including an anticipated Q1 2025 non-GAAP operating loss of $12-$13 million and an operating non-GAAP revenue of $5-$10 million for the full year of 2025.

Thereafter, the Company and certain of its executives were sued in a securities class action lawsuit, charging them with failing to disclose material information during the Class Period in violation of federal securities laws, which remains ongoing.

KSF’s investigation is focusing on whether GitLab’s officers and/or directors breached their fiduciary duties to its shareholders or otherwise violated state or federal laws.
