Throughout 2025, the Company provided overwhelmingly positive statements to investors touting confidence in its ability to capitalize on new initiatives to drive Branded Checkout growth both in the U.S. and internationally. However, on February 3, 2026, the Company announced its financial results for the fourth quarter and full fiscal year 2025, disclosing disappointing earnings with worsening performance in Branded Checkout as well as the sudden and surprising departure of its Chief Executive Officer. The Company further withdrew its 2027 financial targets provided one year earlier and announced projections that suggested a slowdown relative to those prior targets, which it attributed to a combination of macroeconomic factors, competition, and “operational and deployment issues” across all regions.
Thereafter, the Company and certain of its executives were sued in a securities class action lawsuit, charging them with failing to disclose material information during the Class Period in violation of federal securities laws, which remains ongoing.
KSF’s investigation is focusing on whether PayPal’s officers and/or directors breached their fiduciary duties to its shareholders or otherwise violated state or federal laws.
