CVS Health Corporation (NYSE: CVS)

On August 2, 2023, the Company announced its financial results for the quarter ended June 30, 2023, disclosing that it was revising its diluted earnings-per-share (“EPS”) guidance range to $6.53 to $6.75 from $6.90 to $7.12 and that operating income “decreased $1.4 billion, or 30.7%, in the three months ended June 30, 2023 compared to the prior year primarily due to declines in the Health Care Benefits segment[.]”
Thereafter, the Company and certain of its executives were sued in a securities class action lawsuit, charging them with failing to disclose material information during the Class Period in violation of federal securities laws, which remains ongoing.
KSF’s investigation is focusing on whether CVS’ officers and/or directors breached their fiduciary duties to its shareholders or otherwise violated state or federal laws.
