On May 7, 2025, the Company announced its financial results for 2Q 2025, disclosing that, despite prior overwhelmingly positive statements, it had withdrawn its revenue and growth guidance for the full fiscal year 2025 and provided guidance for the third quarter of fiscal 2025 that fell significantly below market expectations due in part to “lost business in excess of new business,” but primarily on “lower adds over stops, which is how we describe volume changes with our existing customers.”

Thereafter, the Company and certain of its executives were sued in a securities class action lawsuit, charging them with failing to disclose material information in violation of federal securities laws, which remains ongoing.

KSF’s investigation is focusing on whether Vestis’ officers and/or directors breached their fiduciary duties to its shareholders or otherwise violated state or federal laws.
