XOMA Royalty Corporation (NasdaqGM: XOMA)

Former Attorney General of Louisiana Charles C. Foti, Jr., Esq. and the law firm of Kahn Swick & Foti, LLC (“KSF”) are investigating the proposed sale of XOMA Royalty Corporation (NasdaqGM: XOMA) to Ligand Pharmaceuticals Incorporated (NasdaqGM: LGND). Under the terms of the proposed transaction, shareholders of XOMA will receive $39.00 in cash for each share of XOMA that they own. KSF is seeking to determine whether this consideration and the process that led to it are adequate, or whether the consideration undervalues the Company.

Vice Chancellor Nathan A. Cook denied the defendants’ motion to dismiss KSF's class action complaint in its entirety. KSF's complaint, filed in the Delaware Court of Chancery on behalf of former stockholders of Trecora Resources Inc., alleges that Trecora’s directors breached their duty of loyalty in connection with the sale of Trecora.
