Styslinger v. Pan, C.A. No. 2020-0651-PAF. On January 4, 2022, the Hon. Paul A. Fiorvanti, Jr. denied Defendants Motion to Dismiss in its entirety, finding that it was reasonably conceivable that a special committee of the Highpower International, Inc. board was not fully functioning and did not satisfy Delaware’s MFW standard because the board – and not the special committee –  granted the company’s founders a Section 203 waiver to pursue the take-private buyout.
