KSF Files a Verified Stockholder Derivative Complaint on Behalf of Nike, Inc.

On September 29, 2026, Kahn Swick & Foti, LLC filed a verified stockholder derivative complaint in the United States District Court for the District of Oregon on behalf of nominal defendant Nike, Inc. (“Nike”), one of the largest athletic footwear and apparel sellers in the world, against certain of its current and former officers and directors. Plaintiff alleges that the defendants breached their fiduciary duties by, inter alia, authorizing a share repurchase while in possession of information that Nike’s stock price was inflated. Plaintiff further alleges that Nike’s board acted in bad faith by constructively and wrongfully refusing his September 16, 2025 litigation demand, and asserts claims of engaging in insider trading, unjust enrichment, corporate waste, contribution under Section 21D of the Securities Exchange Act of 1934, and fraud under Section 10(b) of the Securities and Exchange Act, 1934. Plaintiff seeks restitution damages for Nike, contribution and disgorgement of improperly obtained profits and other monetary gains by the individual defendants, and corporate governance reforms.
